세나콩즈 NFT 이용 조건

프로젝트 콩즈(Project Kongz)의 세나콩즈(SenaKongz)를 구매하거나 보유하는 이용자들은 다음의 조건 하에 세나콩즈(SenaKongz)를 이용할 수 있으며, 아래의 조건 하에 이용하는 것에 동의한 것으로 간주합니다.

정의

  1. “세나콩즈(SenaKongz)”는 이더리움 네트워크상에서 존재하는 디지털 아트 수집품으로서, NFT(Non Fungible Token)의 형태입니다.
  2. “NFT”란 블록체인 네트워크 상에서 존재하는 대체 불가능한 토큰을 의미합니다.
  3. “대상게임”이란 넷마블넥서스 주식회사가 개발하고 넷마블 주식회사가 서비스 하는 모바일게임 “세븐나이츠 레볼루션”을 의미합니다.
  4. "작품”이란 대상게임의 IP와 프로젝트 콩즈의 IP를 결합하여 제작한 디지털 아트를 의미합니다.

소유권

  1. NFT의 소유권. 세나콩즈(SenaKongz)는 이더리움 블록체인 기반의 NFT입니다. NFT를 구매할 시 귀하는 귀하가 구매한 NFT를 소유하게 됩니다. NFT의 소유권 이전은 전적으로 이더리움 네트워트상의 스마트 컨트랙트를 통해 이루어지며, 당사(프로젝트 콩즈 팀 및 (주)메타콩즈, 이하 같음)는 어떠한 경우에도 귀하가 보유한 NFT의 소유권을 압류, 제한하거나 또는 변경할 수 없습니다.
  2. 작품의 소유권. 작품의 소유권, 지식재산권, 기타 제반 권리는 넷마블 주식회사에게 있습니다. 세나콩즈(SenaKongz)의 구매자는 아래 라이선스 항목에서 정한 방법으로만 작품을 이용할 수 있으며, 작품의 지적재산권 행사, 2차저작물 작성, 상업적 이용 등은 제한됩니다. 명확히 하면 세나콩즈(SenaKongz)의 거래를 통해 이전되는 것은 해당 작품과 연관된 NFT의 소유권이며 작품 자체의 소유권은 이전되지 않습니다.

라이선스

  1. 개인적 이용. 귀하가 본 이용조건을 지속적으로 준수한다는 전제하에, 당사는 귀하가 보유하는 세나콩즈(SenaKongz)와 관련된 작품에 대하여, 다음의 목적 하에 이용할 수 있는 전 세계적인 범위의, 별도의 실시료가 없는 비독점적 라이선스를 부여합니다.
    • 개인적인, 비상업적 용도의 사용
    • 귀하가 보유하는 세나콩즈(SenaKongz)의 구매와 판매를 허용하는 거래소의 일부로서 기능하기 위한 사용; 단, 이때 거래소는 실제 소유자만이 세나콩즈(SenaKongz)와 관련된 작품을 게재할 수 있도록 각 소유자의 권리를 암호화된 방식으로 검증해야 함; 또는
    • 귀하가 보유하는 세나콩즈(SenaKongz)의 포함 또는 참여를 허용하는 제3자의 웹사이트 또는 애플리케이션의 일부로서 기능하기 위한 사용; 단, 제3자의 웹사이트 또는 애플리케이션은 실제 소유자만이 세나콩즈(SenaKongz)와 관련된 작품을 게재할 수 있도록 각 소유자의 권리를 암호화된 방식으로 검증해야 하며, 세나콩즈(SenaKongz)의 소유자가 웹사이트 또는 애플리케이션을 탈퇴할 시 작품이 더 이상 게재되지 않아야 함
  2. 예외적인 사용제한. 상기 규정에도 불구하고, 귀하는 다음의 경우에는 당사의 명시적인 사전 서면 동의 없이 본인 및 제3자가 다음 행위를 할 수 없다는 데에 동의합니다. 아래의 내용이 확인되는 경우, 귀하는 본 이용조건에 따라 귀하에게 부여된 세나콩즈(SenaKongz)에 대한 이용권한을 상실할 수 있습니다.
    • 세나콩즈(SenaKongz)나 작품을 (i) 증오, 불관용, 폭력, 잔인성, 또는 비방성 발언 등 타인의 권리를 침해하는 것으로 간주될 수 있는 일체의 것, (ii) 마약(처방의약품 및 일반의약품과 관계없음), 기타 약물, 죽음, 포르노그래피, 성인물 또는 노골적인 성적 행위, 마사지 업소, 성매매, 데이팅 또는 에스코트 행위, 무기 또는 탄약, (iii) 인종/국적/성별/종교/장애/민족/성적지향/성적 정체성 또는 연령/건강상태 및/또는 정당 및 정치 성향에 근거한 개인에 대한 모욕 또는 차별, (iv) 타인 사칭, 타인의 지식재산권을 비롯한 재산권의 침해, (v) 불법활동에 참여, 촉진 또는 장려와 관련된 텍스트, 이미지, 영상 또는 그 외의 여하한 미디어와 관련하여 사용하는 행위
    • 기타 프로젝트 콩즈 또는 대상게임과 경쟁할 수 있는 제품 또는 서비스를 만드는 것을 포함하는 여하한 방식으로 당사가 진행하는 사업 또는 대상게임의 서비스를 방해하거나, 당사 또는 대상게임의 명예나 신용을 훼손하는 일체의 사용행위
  3. 지식재산권. 작품에 대하여 상기 허용된 권리 외에, 귀하는 넷마블 주식회사, 넷마블넥서스 주식회사, 프로젝트 콩즈, 프로젝트 콩즈 팀, (주)메타콩즈, 메타콩즈(MetaKongz), 지릴라(G.rilla), 뮤턴트콩즈(MutantKongz), 베이비콩즈(BabyKongz) 기타 당사가 발행하는 다른 NFT 및 관련 로고를 포함한 다른 상표 또는 지식재산권에 대한 어떠한 권리도 제한 없이 부여되지 않습니다. 위 각 권리는 당사에게 명시적으로 유보되어 있습니다.
  4. 라이선스 기간. 이 이용 조건에 따라 귀하가 보유하는 일체의 권리는 귀하가 세나콩즈(SenaKongz)를 보유하는 동안에만 행사가 가능합니다. 귀하가 세나콩즈(SenaKongz)에 대한 매매, 이전, 증여 기타 일체의 처분행위로 인하여 소유권을 상실한 시점부터 귀하는 본 이용 조건에 따른 권리 일체를 행사할 수 없습니다.

위험 부담

귀하는 다음 항목들에 대하여 동의하고 인정합니다.

  1. 귀하의 세나콩즈(SenaKongz)의 판매와 관련하여, NFT의 가격 변동은 극도로 심하며, 다른 NFT의 가격 변동에 긍정적인 영향과 부정적인 영향을 모두 받는다는 점을 유의하여 주시기 바랍니다. 세나콩즈(SenaKongz)의 구매 및 거래와 관련한 모든 위험은 귀하가 감수합니다. 따라서, 변동성을 고려하여, 세나콩즈(SenaKongz)와 같은 NFT의 구매는 투자로 고려되어서는 안 되며, 세나콩즈(SenaKongz)는 자본시장법과 금융투자업에 관한 법률상 증권 및 금융투자상품에 해당하지도 않습니다.
  2. 세나콩즈(SenaKongz)의 소유권은 오로지 작품과 연관된 NFT에 대한 소유권을 의미합니다. 따라서, 본 웹사이트(또는 본 웹사이트에서 언급된 모든 문서)에 기재된 어떠한 정보도 투자 목적의 계약을 체결하기 위한 조언 또는 제안으로 간주되지 않습니다. 또한, 본 웹사이트의 어떠한 내용도 사법관할을 불문하고 주식, 증권 또는 기타 금융투자상품에 대한 구매의 청약으로 간주되지 않습니다. 본 프로젝트의 예술적인 특징으로 인해 프로젝트 콩즈는 어떠한 사법관할의 규제기관에 등록되거나 승인되지 않았습니다. 따라서, 귀하가 구매한 세나콩즈(SenaKongz) 및 작품이 귀하가 거주하는 사법관할의 법령 준수 여부를 확인하는 것은 전적으로 귀하의 책임입니다.
  3. 귀하는 하드웨어, 소프트웨어, 및 인터넷 연결과 관련한 위험, 악성 소프트웨어 유입에 대한 위험, 제3자가 귀하에 지갑에 저장된 정보를 무단 접근할 수 있는 위험을 포함하되 이에 국한되지 않은 인터넷 기반의 통화(디지털 자산을 포함함) 사용과 관련된 모든 위험을 감수합니다.
  4. NFT, 디지털자산 및 블록체인 기술은 비교적 새로운 것으로 이에 대한 규제가 불분명합니다. 새로운 규제는 블록체인 기술에 부정적 영향을 미칠 수 있으며, 이는 귀하의 세나콩즈(SenaKongz)의 가치에 부정적인 영향을 미칠 수 있습니다. 귀하는 이를 이해하며 모든 위험을 감수합니다.
  5. 귀하는 이더리움 네트워크 또는 이더리움 플랫폼의 중단 또는 이에 영향을 미치는 기타 문제로 인한 악영향에 대한 책임을 모두 감수합니다.
  6. NFT의 거래는 모두 이더리움 블록체인상에서 이루어집니다. 따라서 이용자들은 본인의 개인 이더리움 지갑(지갑의 개인키 등)에 대한 보안과 관리, 그리고 본 웹사이트에서 생성되는 모든 트랜잭션 및 거래에 대하여 승인 전 검증에 대한 전적인 책임을 부담합니다. 또한, 콩즈 프로젝트에 관한 스마트 컨트랙트는 이더리움 네트워크에서 실행되기 때문에, 거래를 취소하거나, 되돌리거나, 복원할 수 없습니다.

이용조건의 변경

  1. 당사는 당사의 재량 하에 본 이용조건을 변경할 수 있습니다. 본 이용조건은 웹사이트에서 지속적으로 업데이트 될 예정이므로, 귀하는 본 이용조건에 변경사항이 있는지 주기적으로 확인하시기를 바랍니다. 당사는 별도의 회원가입 절차를 마련해두지 않고, 귀하의 개인정보 또한 수집하지 않기 때문에, 귀하에게 별도의 통지가 불가능합니다.
  2. 본 이용조건의 변경사항은 적용일자 및 개정사유를 명시하여 현행 이용조건과 함께 그 적용일자 7일 전부터 적용일자 전일까지 제1항의 방법으로 공지합니다. 단, 귀하의 권리 또는 의무에 관한 중요 규정 변경 시에는 적용일자 30일 전에 위 방법으로 공지합니다.
  3. 이용조건이 업데이트된 후에도 귀하가 계속 웹사이트를 접속하거나 사용할 시에, 귀하는 변경된 이용조건을 수락한 것으로 간주합니다. 귀하가 수정된 이용조건에 동의하지 않으면, 본 웹사이트를 접속 또는 사용할 수 없습니다.

재판권 및 준거법

본 이용조건(귀하의 웹사이트 접속 및 사용, NFT의 이용, 또는 웹사이트를 통하여 판매 또는 유통된 제품을 포함하되 이에 국한되지 않음)은 대한민국 법률에 따라 규율되고 해석됩니다. 당사와 이용자 간에 발생한 분쟁은 서울중앙지방법원을 제1심의 전속적 합의관할로 하여 소송으로 해결합니다.




Terms of Use

Users who purchase or own SenaKongz from Project Kongz are able to make use of SenaKongz under these Terms of Use demonstrated in the following articles as their agreement with the terms is legally binding.

Article I. Terms

  1. “SenaKongz” is a collectible digital art in an NFT (Non-Fungible Token) form, and it is available in the Ethereum blockchain.
  2. “NFT” stands for a non-fungible token based on blockchain technology.
  3. “Target game” stands for a mobile game “Seven Knights Revolution” developed and delivered by the Netmarble Corporation.
  4. “Creative works” indicate digital art contents which are created by combining both the IP of the target game and the IP of Project Kongz.

Article II. Ownership

  1. The Ownership of NFT: SenaKongz is an NFT based on the Ethereum blockchain. If a user makes a purchase of an NFT, one obtains an ownership of the following NFT. The transfer of ownership of NFTs can be done using the Smart Contract feature on the Ethereum network. The company (Team Project Kongz and MetaKongz Co.) does not have a right to seize, restrict, or change the ownership of NFTs held by a user under any circumstances.
  2. The Ownership of Creative Works: The ownership of creative works, intellectual property rights, and other various claims of right belong to the Netmarble Corporation. A user who made a purchase of SenaKongz can make use of creative works only in a manner specified in [Article III. License] section below, and the exercise of intellectual property rights, creation of secondary works, and commercial use of creative works are restricted. To be clear, what is transferred through a transaction with SenaKongz is the ownership of the NFT associated with creative works, not creative works themselves.

Article III. License

  1. Personal Use: Assuming your continued compliance with these Terms of Use, the Company grants a user a global non-exclusive license with no additional license fee regarding the usage of creative works of SenaKongz.
    • A personal, non-commercial usage
    • Usage as part of an exchange that allows one to purchase and sell owned SenaKongz; in this case, the rights of each owner must be cryptographically verified so that only the real owner can publish creative works of SenaKongz
    • Usage as part of a website or an app of a third party that allows the inclusion or participation of SenaKongz in one’s possession; in this case, the rights of each owner must be cryptographically verified so that only the real owner can publish creative works of SenaKongz, and one should no longer publish creative works if the owner of SenaKongz leave the website/app.
  2. Usage Restrictions in Exceptional Circumstances: Notwithstanding the foregoing, a user agrees that oneself and any third party are not allowed to take actions addressed in the following section. If the following actions are taken, one may lose the right to use SenaKongz in accordance with these Terms of Use.
    • Do not use SenaKongz or its creative works for (i) anything that may be deemed to infringe the rights of others, including hateful, intolerant, violent, cruel, or libelous remarks, (ii) any kind of drugs, death, pornography, adult material or explicit sexual conduct, massage parlors, prostitution, dating or escort practices, weapons or ammunition, (iii) insult or discrimination against an individual on one’s race/nationality/gender/religion/disability/ethnic groups/sexual orientation/gender identity/age/health condition/political party or political affiliation, (iv) impersonation of other individuals or infringement of intellectual property rights and other property rights, (v) any text, image, video or any other media that engages in promotion or encouragement of illegal activity.
    • Do not use SenaKongz or its creative works for any projects which interfere with the business/service of the target game, or which damages the reputation or credibility of the company or the target game in any way, including producing products or services that can compete with Project Kongz or the target game.
  3. Intellectual Property Rights: Except for the rights granted above for creative works, one is not entitled to rights for any other NFTs, logos and trademarks, or other intellectual property rights from Netmarble Co., Netmarble Nexus Co., Project Kongz, Team Project Kongz, MetaKongz Co., MetaKongz, G.rilla, MutantKongz, BabyKongz, etc. Each of the rights above is expressly reserved by the company.
  4. License Term: Any rights one holds under these Terms of Use can only be exercised while one holds SenaKongz. From the moment one loses the ownership of SenaKongz due to transactions, transfers, gifts, or any other disposition, one cannot exercise any rights according to the Terms of Use.

Article IV: Burden of Risk

One agrees and acknowledges the following statements.

  1. Regarding one’s transactions of SenaKongz, please be aware that the price fluctuations of NFTs are drastic, and that one may be affected both positively and negatively by the price fluctuations of other NFTs. One is expected to cope with all risks associated with one’s purchase and transaction of SenaKongz. Therefore, adding to the price fluctuation component, the purchase of NFTs such as SenaKongz should not be considered as an investment, as SenaKongz is not considered as securities or financial investment products under the Capital Market Act and the Financial Investment Business Act.
  2. The ownership of SenaKongz refers solely to the ownership of NFTs associated with the creative works. Accordingly, no information contained on this website (or any documents addressed on this website) shall be considered as advice or proposal to enter into a contract for investment purposes. In addition, nothing on this website shall be considered as an offer to purchase stocks, securities or other financial investment products, regardless of jurisdiction. Due to the creative/artistic nature of this project, Project Kongz has not been registered or approved by any regulatory body of any jurisdiction. Therefore, it is one’s sole responsibility to ensure that SenaKongz and creative works one purchases comply with the laws of the jurisdiction in which one resides.
  3. One is responsible for the risks of using online-based currencies (including digital assets) including but not limited to the risks associated with hardware, software, and internet connections, the risk of interference of malicious software, and the risk that third parties may gain unauthorized access to the information stored in one’s wallet.
  4. NFTs, digital assets, and blockchain technology are relatively new to the market, and the regulations on them may constantly be updated. New regulations may have a negative impact on blockchain technology, which may negatively affect the value of one’s SenaKongz. One understands this and assumes all risks.
  5. One assumes all responsibility for any adverse effects caused by the interruption of the Ethereum network or the Ethereum platform or any other issues affecting it.
  6. All NFT transactions are made on the Ethereum blockchain. Therefore, users take full responsibility for the security and management of their personal Ethereum wallet (wallet’s private key, etc.) and for the verification process before approval of all transactions and exchanges generated on this website. In addition, since the Smart Contract feature for the Kongz project runs on the Ethereum network, transactions cannot be canceled, reversed, or restored.

Article V: Change of Terms of Use

  1. The Company may change these Terms of Use at their discretion. These Terms of Use will be continuously updated on the website, so one is encouraged to check these Terms of Use periodically for any changes. Since the company does not have a separate membership registration process and does not collect your personal information, a separate notification for a notice change is not possible.
  2. Changes in these Terms of Use shall be notified by the method of Paragraph 1 from seven days before the effective date to the day before the effective date along with the current terms of use by specifying the date of application and the reason for the revision. However, in the event of a change in important regulations regarding one’s rights or obligations, one will get notified thirty days prior to the effective date using the same method as above.
  3. If one continues to access or use the website even after the terms of use have been updated, one is deemed to have accepted the changed terms of use. If one does not agree to the amended terms and conditions, you may not access or use this website.

Article VI: Jurisdiction and Governing Law

These Terms of Use (including, but not limited to, one’s access and usage of the website, one’s use of the NFT, or products sold or distributed through the website) shall be governed by and construed in accordance with the laws of the Republic of Korea. Disputes between the company and users may be resolved by litigation with the Seoul Central District Court under the exclusive jurisdiction of the first instance.
